1. Agreement to these Terms

By downloading, installing, accessing, or using Stayref (the “App”), you agree to these Terms of Use (the “Terms”) and our Privacy Policy. If you do not agree, do not use the App.

If you use the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms form a binding agreement between you and Ibtikx W.L.L. They apply worldwide wherever the App is made available through the Apple App Store, Google Play, or other authorized channels.

2. The App (what Stayref is)

Stayref is a mobile application that helps you catalogue, search, organize, and work with files and related content on your device. Features may include, without limitation:

• On-device indexing and search of files you choose to scan or import
• On-device OCR, labels, duplicate detection, and hygiene tools
• Document scanning, PDF and image tools, notes, QR tools, and similar utilities
• Optional cloud sync to your connected accounts (for example Google Drive, Microsoft OneDrive, Dropbox, or iCloud), when you enable them
• Optional server-assisted features (for example document conversion or audio/video transcription) via our APIs
• Optional app lock using your device biometrics or secure storage
• A free tier that may display advertisements, and a paid Stayref Pro subscription that unlocks premium features and an ad-free experience

Stayref is designed as local-first: your personal file library is not stored as a general Stayref cloud account on our servers. Optional features may transmit data as described in the Privacy Policy. We may add, change, or discontinue features over time. Availability of a feature may depend on your device, OS version, region, permissions, network, third-party services, or Stayref Pro status.

3. Eligibility and age

You must be able to form a binding contract under applicable law to use the App.

The App is not directed to children. You must meet the minimum age required in your country to use app stores and online services (and in any event not under 13, or under 16 where that is the digital consent age, such as in parts of the EEA/UK, unless a parent or guardian has consented as required by law).

If we learn that we have collected personal information from a child in violation of applicable law, we will take reasonable steps to delete it. Contact support@ibtikx.com.

4. License to use the App

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on devices you own or control, solely for your personal (or internal business) use, and solely as permitted by the Apple App Store or Google Play terms that apply to your purchase or download.

You do not own the App. The App is licensed, not sold. All rights not expressly granted are reserved by Ibtikx and its licensors.

You may not (and may not allow others to):

• Copy, modify, distribute, sell, lease, or reverse engineer the App, except to the limited extent that applicable law expressly prohibits such restriction
• Circumvent security, licensing, subscription, or ad-control mechanisms
• Use the App to violate law, infringe others’ rights, or harm devices, networks, or users
• Scrape, overload, or abuse our APIs or services
• Remove proprietary notices from the App
• Use the App in any way not expressly permitted by these Terms or the applicable store rules

5. Your content and responsibilities

5.1 Your files and content — You retain ownership of your files, notes, images, scans, and other content you create or import (“Your Content”).

You are solely responsible for:

• The legality and appropriateness of Your Content
• Backing up Your Content (on-device data can be lost if you uninstall, clear data, reset the vault, lose the device, or experience storage failure)
• Permissions you grant (storage/media, camera, microphone, notifications, biometrics, network, etc.)
• Securing your device, passcodes, biometrics, and any cloud accounts you connect
• Complying with third-party terms when you connect Google, Microsoft, Dropbox, Apple, or other services

5.2 License you grant to us (limited)

To operate optional features you request (for example conversion, transcription, or support tickets with attachments), you grant Ibtikx a limited, worldwide, non-exclusive license to process Your Content solely as needed to provide that feature, as described in the Privacy Policy. We do not claim ownership of Your Content.

5.3 Acceptable use

You agree not to use the App to store, process, transmit, or share content that:

• Is illegal, or that you do not have the right to use
• Infringes intellectual property, privacy, or publicity rights
• Contains malware or attempts unauthorized access to systems
• Exploits, abuses, or endangers minors
• Violates export controls, sanctions, or other applicable regulations

We may suspend or terminate access to our online services if we reasonably believe you have violated these Terms or pose a security or legal risk.

6. Optional cloud sync and third-party services

If you enable cloud sync or sign-in with a provider:

• Files and metadata sync to your cloud account according to that provider’s terms and privacy policy
• We do not receive your cloud account passwords
• Availability, quotas, and integrity of synced data depend on the provider and your account
• Disconnecting a provider or revoking access may stop sync; it does not automatically delete copies already stored in your cloud account

The App may integrate with third parties including, without limitation: Apple, Google (including AdMob and sign-in), Microsoft, Dropbox, RevenueCat, crash/diagnostics providers (for example Sentry or Firebase Crashlytics when enabled), and hosting/conversion providers for api.ibtikx.com. Those services are governed by their own terms. We are not responsible for third-party outages, policy changes, or data handling beyond our instructions to them as service providers.

7. Free tier, advertising, and Stayref Pro

7.1 Free tier and ads — Without an active Stayref Pro entitlement, the App may display advertisements (including via Google AdMob). Ads may use device and usage signals under the ad provider’s policies and, where required (for example EEA/UK), your consent choices (such as in-app “Ad privacy choices”).

7.2 Stayref Pro subscriptions — Stayref Pro is an auto-renewable subscription that may unlock premium features such as an ad-free experience, advanced conversions/PDF workflows, cloud sync and backup features, transcription limits, custom scan folders, and other benefits described in the App at the time of purchase.

7.3 Managing subscriptions, trials, and refunds

Apple App Store (iOS / iPadOS). Payment is charged to your Apple ID account. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage and cancel subscriptions in Settings → [your name] → Subscriptions (or the current Apple Account subscriptions path). Deleting the App does not cancel your subscription.

Google Play (Android). Payment is charged to your Google Play account. Subscriptions renew automatically unless cancelled according to Google Play’s policies. Manage or cancel in Google Play → Payments & subscriptions → Subscriptions (or the current Play subscriptions path). Uninstalling the App does not cancel your subscription.

We use RevenueCat (or a similar entitlement service) to validate subscription status in the App. We do not receive your full payment card details; Apple or Google processes payment.

If a free trial or introductory offer is available, details (including duration and conversion to a paid subscription) will be shown in the store listing or paywall before you confirm. Unused trial time is forfeited when you purchase a subscription where the store’s rules so provide.

We may change subscription pricing or benefits prospectively. Material changes will be shown in the store and/or App as required by Apple, Google, and applicable law. Changes generally apply at the next renewal or as otherwise required by the store or law.

Refund requests for App Store purchases are handled by Apple under Apple’s refund policies. Refund requests for Play purchases are handled by Google under Google’s refund policies. Contact us at support@ibtikx.com if you need help identifying your purchase; we cannot unilaterally override store refund decisions.

8. Our online services (APIs)

Certain features send content you select to our servers (for example https://api.ibtikx.com/stayref) to fulfill a request such as conversion or transcription. Those services:

• Are provided “as available” and may have rate limits, size limits, or Stayref Pro requirements
• Process content to fulfill the request and are not a permanent personal file archive (see Privacy Policy)
• May be suspended for abuse, security, legal, or operational reasons

You remain responsible for not uploading unlawful or unauthorized content to these services.

9. Intellectual property

The App, including its software, design, trademarks, logos, and documentation, is owned by Ibtikx or its licensors and protected by intellectual property laws. “Stayref”, “Stayref Pro”, and related marks are trademarks of Ibtikx (or pending registration). You may not use our marks without prior written permission, except to truthfully describe your use of the App.

Open-source components included in the App are licensed under their respective licenses.

10. Privacy

Our collection and use of personal information is described in the Privacy Policy at https://ibtikx.com/stayref/privacy. By using the App, you also acknowledge that policy. Where consent is required for ads or optional processing, we will request it as required by law.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the above, we do not warrant that:

• The App will be uninterrupted, secure, or error-free
• OCR, search, classification, duplicate detection, conversion, transcription, or AI-assisted results will be complete or accurate
• Indexing will find every file on your device or that paths/permissions will never change
• Cloud sync will be conflict-free or that third-party storage will retain data
• The App is suitable for regulated, medical, legal, or life-critical use without your own independent verification

Some jurisdictions do not allow certain disclaimers; in those places, disclaimers apply to the fullest extent permitted.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IBTIKX AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US FOR STAYREF PRO IN THE TWELVE (12) MONTHS BEFORE THE CLAIM; OR (B) TWENTY-FIVE US DOLLARS (USD $25) OR LOCAL EQUIVALENT.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including liability for fraud, or for death or personal injury caused by negligence where such limitation is prohibited).

13. Indemnity

To the maximum extent permitted by law, you will defend and indemnify Ibtikx and its affiliates against claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) Your Content; (b) your misuse of the App or our APIs; (c) your violation of these Terms or applicable law; or (d) your infringement of a third party’s rights.

14. Suspension and termination

You may stop using the App at any time by uninstalling it. Uninstalling does not cancel a subscription (§7).

We may suspend or terminate your access to our online services, or stop offering the App, if you violate these Terms, if required by law, or if we discontinue the product. Provisions that by nature should survive (including ownership, disclaimers, liability limits, indemnity, and governing law) will survive termination.

15. App Store / platform terms

15.1 Apple-required terms — If you obtained the App from the Apple App Store: (1) These Terms are between you and Ibtikx, not Apple. (2) Apple has no obligation to provide maintenance or support for the App. (3) To the maximum extent permitted by law, Apple has no warranty obligation regarding the App. Any claims relating to the App (product liability, legal/regulatory compliance, consumer protection, intellectual property infringement) are between you and Ibtikx, not Apple, subject to these Terms and applicable law. (4) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you regarding the license to the App. (5) You represent that you are not located in a country subject to a U.S. Government embargo, or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. (6) Your use of the App must comply with the Apple Media Services Terms and any Usage Rules in the App Store.

15.2 Google Play — If you obtained the App from Google Play, your use must also comply with the Google Play Terms of Service and applicable Google payment/subscription policies. Google is not a party to these Terms between you and Ibtikx, except as required by Google’s policies for billing and refunds.

16. Export and sanctions

You may not use, export, or re-export the App except as authorized by the laws of the Kingdom of Bahrain, the United States, and other applicable jurisdictions. You are responsible for compliance with sanctions and export rules that apply to you.

17. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date will change when we do. The current version will be posted at https://ibtikx.com/stayref/terms (and linked from the App Store / Play listing and in-app Settings where required).

If a change is material, we will take reasonable steps to notify you (for example in-app notice or store listing update). Continued use of the App after the effective date of updated Terms constitutes acceptance, except where applicable law requires additional consent.

18. Governing law and disputes

These Terms are governed by the laws of the Kingdom of Bahrain, without regard to conflict-of-law rules, except that mandatory consumer protection laws of your country of residence may still apply, and nothing prevents you from bringing a claim in the courts of your place of residence where required by law.

Where permitted, exclusive jurisdiction for disputes will be the competent courts of the Kingdom of Bahrain, subject to mandatory consumer venue rights.

19. General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement regarding the App, superseding prior agreements on the same subject.
• Severability. If a provision is unenforceable, the remainder remains in effect.
• No waiver. Failure to enforce a provision is not a waiver.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Language. We may provide translations for convenience. If there is a conflict, the English version controls, except where local law requires otherwise.
